Organizer Agreement

This agreement is between Scene ("Scene", "we", "us"), an Illinois limited liability company, and the person or entity that lists or sells tickets to an event through Scene ("Organizer"). By listing or selling tickets, Organizer accepts this agreement together with Scene's Terms of Service, Acceptable Use Policy, and Refund Policy.
1. Appointment as limited collection agent
Organizer appoints Scene as its limited agent for the sole purpose of collecting ticket payments from buyers on Organizer's behalf. Scene collects the ticket price as agent of the payee (Organizer). A buyer's payment to Scene satisfies and discharges the buyer's payment obligation to Organizer, whether or not Scene has yet remitted those funds to Organizer. Scene is not a buyer, reseller, or counterparty to the ticket sale.
2. Roles: Organizer is the seller; Scene is the merchant of record for payment
Organizer is the seller and producer of its events and is solely responsible for the event and its production, admission and delivery of tickets, event descriptions and pricing, and all licenses, permits, and taxes (including sales, amusement/entertainment, or VAT) applicable at its location. Scene Events LLC is the merchant of record for card processing — Scene's name appears on the buyer's card statement — and collects the ticket price as the Organizer's disclosed agent (agent of the payee). Scene is not the seller, host, or producer of any event.
3. Fees and processing
Scene retains a platform fee of 2.8% + $0.49 per ticket (free events are free); fees are disclosed before a sale and may change on notice. Payment-processing costs are netted from Organizer's remittance (Organizer bears processing). Scene's platform fee is separate from and in addition to processing costs.
4. Payouts
Scene remits to Organizer the ticket proceeds it collected, less Scene's fee, processing costs, and any refunds, chargebacks, or reserves. Scene may hold collected proceeds in a separate settlement account pending payout. Payouts are made to Organizer's verified bank account after the event has occurred and after the applicable refund/chargeback window has closed. Scene may adjust timing where required for risk, dispute, or legal reasons.
5. Verification, KYC, and tax reporting
Before any payout, Organizer must complete identity/entity verification and provide legal name or entity, address, taxpayer identification (IRS Form W-9), and verified bank details. Scene may withhold payouts until verification is complete and may request additional information to meet its compliance obligations. Scene will issue IRS Form 1099-K to Organizers meeting the reporting threshold.
6. Refunds and chargebacks
Organizer sets the refund terms for its events; Scene (or Organizer) may issue refunds through the ticketing tools, which void the ticket. Because Scene is the merchant of record, a chargeback is first charged back to Scene; however Organizer remains financially responsible for refunds and for chargebacks/disputes on its sales, including associated fees. Scene may recover these amounts by deducting them from amounts owed to Organizer, drawing on a reserve, or invoicing Organizer for any shortfall. 7. Reserves and holds
Scene may hold or reserve a portion of collected funds (including a rolling reserve), or delay a payout, where reasonably necessary to cover anticipated refunds, chargebacks, or compliance concerns. Held amounts are released once the associated risk has passed.
8. Prohibited items and compliance
- Only event admission, non-explicit branded merchandise, and sponsorships may be sold. Organizer may not use Scene to sell or process payment for pornography or sexually explicit media, sexual or escort services, or physical adult products — a ticket grants entry to an event and is never payment for a sexual service.
- Organizer must comply with the Acceptable Use Policy and all applicable laws. Scene may remove listings, refuse or reverse sales, and suspend accounts for violations.
9. Term and termination
Either party may terminate this agreement at any time. Termination does not affect obligations for sales already made — including payouts, refunds, chargebacks, taxes, and reserves — which survive.
10. Liability and indemnity
Organizer will indemnify Scene against claims arising from Organizer's events, content, or breach of this agreement. To the fullest extent permitted by law, Scene's aggregate liability is limited as set out in the Terms of Service.
11. Governing law
This agreement is governed by the laws of the State of Illinois, USA, without regard to conflict-of-laws rules; disputes will be brought in the state or federal courts located in Illinois.
12. Entire agreement; changes
This agreement, with the Terms of Service, Acceptable Use Policy, and Refund Policy, is the entire agreement between the parties regarding ticket collection and payout. Scene may update it on notice; continued use constitutes acceptance. Acceptance is recorded electronically when an Organizer lists or sells tickets.
